UI DESIGNS — TERMS OF SERVICE (B2B)

1. Who We Are (Identity)

These Terms of Service (the “Terms”) govern services provided by Danny Vincent trading as UI DESIGNS (“UI DESIGNS”, “we”, “us”) operating from Bournemouth, United Kingdom.

If you are viewing these Terms on our website and the Service Address for Notices field has not yet been published, our service address (including address for formal notices) is the address stated in the Order you sign.


2. Business Clients Only

Our services are offered only to clients acting in the course of business (“Business Clients”). We do not contract with consumers.

For clarity, Business Clients may include:

  • limited companies;

  • partnerships;

  • sole traders acting in a business capacity;

  • charities;

  • clubs; and

  • non-profits.

By signing an Order, you represent and warrant that:

  • you are acting for business purposes; and

  • the person signing has authority to bind the Business Client.


3. What These Terms Cover

These Terms apply to:

  • web design and development projects;

  • managed hosting;

  • maintenance and support under care plans (“Care Plans”);

  • access to and use of UI DESIGNS’s proprietary admin panel (“the Admin Panel”) where included.


4. How the Contract Is Formed

A binding contract is formed when you sign our project proposal, order form, or service agreement (each an “Order”).

The Order forms part of the contract and sets out the specific:

  • scope;

  • deliverables;

  • timeline;

  • revision rounds;

  • Care Plan tier; and

  • pricing.

If there is a conflict between these Terms and an Order, the Order prevails for that project.


5. Baseline Scope (Unless Your Order Says Otherwise)

The baseline assumptions below apply unless your Order states otherwise.

Copywriting

Not included. You provide text; we may assist with light editing/formatting.

Stock Images

Included on a best-efforts basis using standard stock availability.

If you want specific premium/licensed assets beyond standard stock availability, we will obtain your approval before any chargeable purchase.

SEO Setup

Basic setup only (e.g., titles, meta, sitemap where applicable).

No guarantee of rankings, traffic, or outcomes.

Accessibility

Best-efforts only.

No guarantee of 100% compliance; your content and third-party tools may impact accessibility.


6. Pricing, Deposits, and Payment

6.1 Mobilisation Fee (Deposit)

A 50% mobilisation fee is payable before work begins.

6.2 When Work Is Treated as Commenced

Work is treated as commenced when we begin any project work after signature, including (without limitation):

  • discovery/onboarding;

  • planning;

  • design;

  • development; or

  • environment/server setup.

6.3 Deposit Refunds

Once work has commenced, the mobilisation fee is non-refundable to the extent of time spent and capacity reserved.

6.4 Final Payment Before Release

Final payment must be received in full before any of the following occur:

  • the website is made live;

  • the website is transferred; or

  • final project files are delivered.

6.5 Invoice Terms

Unless stated otherwise in the Order, invoices are due within 14 days of issue.

6.6 VAT

We are not currently VAT-registered.

If this changes, VAT may be charged where applicable from the effective registration date.


7. Late Payment, Failed Card Payments, and Suspension

7.1 Project Invoices (Non-Subscription Amounts)

If an invoice remains unpaid for 30 days after the due date, we may:

  • pause work; and/or

  • suspend live services (including hosting, Care Plans, and Admin Panel access)

until all overdue amounts are paid.

7.2 Care Plan Failed Card Payments (Stripe Subscriptions)

If a Care Plan subscription payment fails, we may suspend:

  • hosting/Care Plan services; and

  • Admin Panel access

if the payment remains unpaid 7 days after the first failed payment attempt.


8. Scope, Revisions, and Your Responsibilities

8.1 Scope

Work includes only what is stated in the Order.

8.2 Revision Rounds

The number of revision rounds is as stated in the Order or package.

A revision round consists of one consolidated list of changes.

8.3 Your Responsibilities

You must:

  • provide required content (text, images, assets) in a timely manner;

  • ensure materials you provide are accurate and that you own or have rights to use them; and

  • cooperate reasonably, including providing access and approvals needed to complete the project.

8.4 Compliance of Your Website/Business

Unless expressly included in the Order, you are responsible for your website’s legal/regulatory compliance (including required notices, policies, and industry-specific requirements).


9. Project Delays, Archiving, and Abandonment

9.1 Stalling

If you delay a project for more than 30 consecutive days (including failing to provide content, access, or approvals), we may archive the project.

A £50 reactivation fee applies to restart archived projects.

9.2 Abandonment

If no response is received for 60 consecutive days, the project may be treated as abandoned.

Fees paid are forfeited to the extent of work performed and capacity reserved, and we are released from further obligations.


10. Acceptance of Work

Upon final delivery, you have 14 days to review and provide feedback.

If no feedback is received within that period, the work is deemed fully accepted and complete.


11. Delivery Paths (Handover Choice)

After final payment, you must choose one of the following:

Option A — Managed Hosting + Care Plan

  • Your website is deployed on UI DESIGNS infrastructure.

  • You receive access to the Admin Panel (where included in your Care Plan).

  • Ongoing service continues under your selected Care Plan.

Option B — Code Transfer (Exit)

We provide a one-time export of:

  • the website source code;

  • user uploads; and

  • a JSON export of all MongoDB collections (“the Database Export”).

Handover Timing Rule

The 14-day delivery period starts only once:

  • all outstanding invoices are paid in full; and

  • the effective cancellation/termination date has occurred.

After exit, you will no longer have access to Admin Panel features.


12. Care Plans (Recurring Services)

12.1 Tier Details Live in the Order

Care Plan tiers, pricing, and inclusions (e.g., Starter/Growth/VIP) are defined in your Order.

12.2 Billing and Renewal

Care Plans are billed monthly in advance via Stripe (card) and auto-renew until cancelled.

12.3 When Billing Starts

Care Plan billing starts on the date the Stripe subscription is created.

12.4 Cancellation; No Prorated Refunds

You may cancel a Care Plan by Written Notice (as defined in Section 21).

Cancellation takes effect at the end of the current billing period.

No prorated refunds or credits are provided.

12.5 Support Hours and Response Target

Support is available:

  • Monday–Friday;

  • 9:00 AM–5:00 PM (UK time).

We aim to respond within 24 business hours.

A response means acknowledgement/triage; it does not guarantee work has commenced.

12.6 Minor Updates (Definition)

Unless the Order states otherwise, “Minor Updates” means up to 30 minutes per month of:

  • text swaps;

  • image swaps; and

  • similar content changes

that do not require:

  • new features;

  • new templates;

  • significant design changes; or

  • custom development.

12.7 Backups and Data Recovery (Best-Efforts)

Unless explicitly stated in your Care Plan/Order, UI DESIGNS does not guarantee any specific backup frequency or recovery time objective.

Where your Care Plan includes backups, retention is 30 days unless your Order states otherwise.

Restores

Restores are:

  • included if data loss is caused by UI DESIGNS; and

  • billable at £50/hour if caused by the Client (including accidental deletion, misconfiguration, or changes made by the Client or third parties).


13. Admin Panel (SaaS-Style Access)

13.1 License; Term

Where included, Admin Panel access is licensed (not sold) to you and is available only while your Care Plan is active and paid.

Access will be revoked if your Care Plan is cancelled or payments fall into arrears.

13.2 As-Is; Changes

The Admin Panel is provided as-is and may be modified, updated, or replaced over time.

13.3 Misuse; Suspension

We may suspend Admin Panel access for:

  • non-payment;

  • security abuse; or

  • system misuse.

13.4 Exports

Where included in your plan, you may self-export:

  • analytics; and

  • MongoDB collection data

within the Admin Panel.

13.5 Access by UI DESIGNS

UI DESIGNS personnel may access the Admin Panel and your website for the purpose of providing support, maintenance, security, and fulfilling our obligations under the Care Plan.

We will only access client data when reasonably necessary and will treat all client data as confidential.


14. Domains and Third-Party Accounts

14.1 Domains

You must purchase and maintain your domain via a third-party registrar.

We do not own or hold domains on your behalf.

14.2 DNS Guidance

We will provide DNS settings and may assist with configuration upon request.

14.3 No Liability for Renewal Failures

We are not liable for:

  • downtime;

  • loss of business; or

  • loss of domain ownership

resulting from failure to renew or maintain domain services.


15. Hosting Boundaries

  • SSL is included by default.

  • Business email is not included unless stated in your Order.

  • Staging/test sites are not included unless stated in your Order.


16. Intellectual Property and Credits

16.1 Ownership Transfer

Ownership of project deliverables transfers only after full payment, subject to third-party rights and Section 16.2.

16.2 Proprietary Systems

The Admin Panel and proprietary systems remain the exclusive intellectual property of UI DESIGNS and are not transferred under any circumstances.

16.3 Footer Credit

A small “Site by UI DESIGNS” footer credit link is included by default.

Removal is available for a one-time fee of £50, regardless of when requested.

The footer credit will be removed only after the £50 fee is paid.

16.4 Portfolio

We may display the completed project in our portfolio only after you have paid in full.


17. Extra Work and Ad-Hoc Support

17.1 New Features and Out-of-Scope Work

Major new features and out-of-scope work require:

  • a fixed written quote; and

  • your written approval

before work begins.

17.2 Ad-Hoc Technical Support

Technical work outside Minor Updates is charged at £50 per hour in 15-minute blocks, unless otherwise agreed in writing.

We will obtain your approval (by email) before commencing chargeable ad-hoc support work.


18. Third-Party Services and Technical Limitations

We are not liable for failures, outages, or downtime caused by third-party providers or events outside our reasonable control.

Websites are built for modern browsers:

  • Chrome;

  • Safari;

  • Edge; and

  • Firefox.

Legacy browser support is not included unless stated in the Order.

Use of AI Tools

UI DESIGNS may use artificial intelligence tools to assist with certain aspects of website development and support.

Any such use is subject to appropriate safeguards and does not involve sharing client data with AI providers beyond what is necessary to deliver the service.


19. Performance Disclaimer

We do not guarantee:

  • SEO rankings;

  • website traffic;

  • conversions; or

  • business outcomes.


20. Limitation of Liability

Nothing in these Terms limits liability for:

  • death or personal injury caused by negligence; or

  • fraud or fraudulent misrepresentation.

Subject to the above, our total liability is limited to the total price of the Initial Project as stated in the applicable Order.

We are not liable for indirect or consequential losses, including:

  • loss of profit;

  • loss of revenue; or

  • business interruption.


21. Termination

21.1 Termination for Convenience

Either party may terminate with 14 days’ Written Notice.

21.2 Immediate Termination (“Kill Switch”)

We may terminate immediately by Written Notice if:

  • you fail to pay any undisputed invoice by its due date and remain unpaid after we have issued at least one payment-chase email; or

  • you abuse or misuse the Admin Panel, hosting infrastructure, or related systems in a way that creates security risk, instability, or unlawful activity.

21.3 Fees on Termination

If you terminate after work has commenced, the mobilisation fee remains non-refundable to the extent stated in Section 6.

If we terminate, you pay only for work completed up to termination.


22. Data Processing (Controller/Processor)

Where UI DESIGNS processes personal data on your behalf in providing hosting/maintenance services:

  • you act as the Data Controller; and

  • UI DESIGNS acts as the Data Processor.

We will:

  • process personal data only on your documented instructions;

  • ensure authorised personnel are bound by confidentiality;

  • implement appropriate security measures;

  • notify you of personal data breaches without undue delay; and

  • assist with data protection obligations where reasonably required.

22.1 Deletion After Exit

After Code Transfer/exit or termination of hosting/services, we will delete your hosted website/data from our systems within 30 days, unless continued storage is required by law.

Residual copies may persist for a limited period in backups or logs in accordance with our ordinary retention practices.


23. Notices (Email-Only)

In these Terms, “Written Notice” means an email sent to info@uidesigns.co.uk.

Notices are effective only when sent to that email address.


24. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction.


25. Entire Agreement and Severability

These Terms and the applicable Order form the entire agreement between you and UI DESIGNS relating to the Services.

If any provision is held unenforceable, the remainder will remain in effect.
